Geophii Reseller Terms
Version 2026-10-12 · 12 October 2026
These are the terms for agencies that resell Geophii to their own clients. When you tick the box to agree, they become a binding agreement between Geophii and your business.
1. About these terms
- These terms are an agreement between Edward Hadome Ltd, trading as Geophii, registered at Clyde Offices, 2nd Floor, 48 West George Street, Glasgow G2 1BP (“Geophii”, “we” or “us”), and the business that has an agency account on Geophii (“you”).
- They apply once you tick to agree to them, either when you apply or when we ask you to. The person who ticks confirms they’re authorised to agree to them for the business.
- The version number and date are at the top. We keep a record of who agreed, when, and to which version.
- Your partnership terms also form part of these terms. They’re shown in your account, in the “Your partnership terms” section of your Billing page. They set out your rates, the holding period, the minimum payout, the payout schedule and the limit on unpaid fees. We confirm them with you there, and by email where we’ve agreed anything else. If they differ from these terms, your partnership terms take priority.
2. What you can do
- You can resell Geophii to your own clients. You can add them to Geophii, run audits and fixes for them, and sell them credits and our services.
- It isn’t exclusive. You’re free to work with others, and we’re free to work with other agencies.
- You’re an independent business. Nothing in these terms makes you our employee, our agent or our partner in a legal sense. You can’t make promises on our behalf.
- If you’re on a white-label plan, your clients see your brand instead of ours wherever the plan covers it. Some things may still show Geophii, such as emails, invites, links to app.geophii.com and card statements.
3. Your account
- Give us accurate details and keep them up to date, including where we should send your payments.
- You’re responsible for everyone you give access to, and for keeping logins safe.
- If you apply for an agency account, we need to approve it before it’s active, and we may decline your application. If you sign up by buying a plan, your account is active straight away.
4. Your clients
- You’re responsible for your relationship with your clients, including anything you promise them.
- Only add a business’s website, data or accounts to Geophii with that business’s permission.
- Each client business has its own dashboard on Geophii. The business owns what’s in it: its sites, reports, content, website connections and the credits it bought.
- You manage a client’s dashboard with that business’s permission, and the business can withdraw that permission. You can also remove a client from your account.
- If a client leaves you, they keep their dashboard. Whether they leave or you remove them, you can take back any credits you gave them in the last 30 days that they haven’t used. Their other credits stay theirs.
- Don’t promise rankings, AI recommendations or results. Nobody can guarantee them (see section 9).
- Our own services are always paid for through us. You can’t take payment for them yourself.
- If you deliver work through our marketplace for another agency’s client, don’t approach that client directly.
5. Prices, credits and payments
- We set the prices of credits and of our services.
- Where we allow it, you can add your own markup to a service, with our approval. Once it’s approved, you keep the markup and don’t earn commission on that service.
- If a client gets a refund on a service you added a markup to, the refund includes your markup. Card and dispute fees come off first, then the cost of the refund is shared between everyone who was paid for that sale, including you.
- If a client gets a refund because something went wrong with a service, we can put the cost of the refund on whoever was at fault, instead of sharing it.
- Credits are for using Geophii. They aren’t money. They can’t be exchanged for cash or paid out, and if something bought with credits is refunded, the refund is in credits.
- Credits that haven’t been used expire 24 months after they were bought or added.
- Your partnership terms set how payment works. Either we take payment from your clients and pay you commission, or you take payment yourself and we invoice you for our fee.
- We may show prices and other amounts in US dollars, pounds sterling or euros. The price is the same; we just show it in your currency.
6. Your commission
- You earn commission on the sales and at the rates in your partnership terms. They also set out how your commission is worked out.
- Your rates are set for your agency and for each kind of sale, and we confirm them with you. Commission for referring other agencies to Geophii is to be determined, and we’ll confirm it with you.
- If we want to change your rates, we’ll tell you first and ask you to agree. A rate change never affects commission you’ve already earned. When your rates do change, you usually keep your previous rates for clients you already have.
- Commission becomes payable once the holding period in your partnership terms has passed and you’re owed at least the minimum payout of $50, which we may show in your currency (see section 5).
- We pay monthly, by bank transfer or another way we agree with you.
- If a client gets their money back, through a refund or a chargeback they win, you lose the commission on what they got back. If we haven’t paid that commission to you yet, we cancel it. If we have, it comes off your next payouts. If you still owe it after 90 days, we’ll invoice you for it.
- We may hold back commission on a sale while its payment is disputed or while we check the sale.
- We correct mistakes either way. If we pay you too little, we’ll make up the difference. If we pay you too much, the extra comes off your next payouts.
7. What you owe us
- You owe us any fees that are part of your arrangement, such as platform fees, lead fees or the cost of your plan. They’re shown in your account.
- We can take what you owe us out of your payouts before we pay you.
- If your unpaid fees reach the limit in your partnership terms, we can pause spending on your account until you’ve paid them.
- If you take payments yourself and don’t settle what you owe us on them, we can stop you making new sales where you take the payment yourself. After that, we can stop your listings and your payouts.
8. Using Geophii properly
- Don’t use Geophii to break the law, send spam, mislead people, or publish content that’s unlawful or infringes anyone else’s rights.
- Don’t copy, reverse-engineer or overload the platform, resell it outside these terms, or try to get around its limits or payments.
- Follow marketing and privacy laws in anything you send to your clients and their customers.
9. What Geophii can and can’t promise
- Geophii uses AI. AI answers change over time and can be wrong. Check anything Geophii produces before you or your clients publish it.
- We can’t guarantee rankings, AI recommendations, traffic or sales.
- We work to keep Geophii running and to improve it, and we may change its features. We’ll tell you before we make a change that materially affects you.
10. Data and confidentiality
- Each of us follows data protection law.
- When you or your clients put personal data into Geophii, we process it on your behalf, only to provide Geophii and in line with data protection law.
- Keep our non-public information confidential, and we’ll do the same for yours.
11. Our brand and yours
- We own Geophii and everything in it. You own your brand and your content.
- You can use the Geophii name to describe what you offer, as long as you don’t suggest you’re us.
- We may name you as one of our partners, unless you’re on a white-label plan or ask us not to.
- If you send us ideas or feedback, we can use them without owing you anything.
12. Changes to these terms
- We may update these terms. For a change that matters, we’ll tell you at least 30 days before it takes effect, by email or in your account, and ask you to agree to the new version.
- If you don’t want to agree to the new version, you can end these terms before the change takes effect.
13. Ending these terms
- You can close your agency account at any time by asking us.
- We can end these terms by giving you 30 days’ notice.
- We can suspend or close your account straight away if you break these terms in a serious way, don’t pay what you owe, act fraudulently, or put our clients, our platform or our reputation at risk.
- When these terms end, we’ll pay you any commission you earned before then, less anything you owe us. We won’t pay it if we ended these terms because of fraud or because you broke them in a serious way.
- Your clients keep their dashboards and their credits, apart from any credits you take back under section 4.
14. Liability
- Nothing in these terms limits liability that the law doesn’t allow us to limit, for example for fraud, or for death or injury caused by negligence.
- Apart from that, neither of us is liable to the other for indirect losses, or for lost profits, revenue or data.
- Our total liability to you in any 12 months is limited to the commission we paid you plus the fees you paid us in that period.
15. General
- These terms, together with your partnership terms, are the whole agreement between us about reselling Geophii.
- You can’t transfer these terms to anyone else without our agreement. We can transfer them to a company that takes over Geophii.
- Send formal notices to us at support@geophii.com. We’ll send ours to the email address on your account.
- If any part of these terms can’t be enforced, the rest still applies.
- These terms are governed by the laws of England and Wales. The courts of England and Wales decide any dispute, except that if your business is based in Scotland, you can use the courts of Scotland instead.
